1. Acceptance of Terms

If you disagree with any provision, discontinue use immediately.

  • Chemical Handling: Products must be used, stored, and disposed of per safety labels, instructions, and Safety Data Sheets (SDS).

  • Disclaimer: We disclaim liability for damages from misuse, improper storage, or failure to follow safety guidelines. Keep Products away from children and pets.

5. Orders & Payments

Order Process

  • Orders are binding upon payment confirmation.

  • We reserve the right to cancel orders due to errors, unavailability, or suspicion of fraud.

Pricing & Payment

  • Prices listed on the Website or in quotations are subject to change.

  • Bulk Orders: Paid via cash or bank transfer (details provided upon confirmation).

  • Online Payments: Processed securely through Wix.com gateways (PCI-DSS compliant).

6. Delivery

Delivery terms, including timelines and responsibilities, are governed by our Shipping Policy. Risk of loss transfers to you upon delivery to the carrier.

7. Returns & Refunds

Returns are permitted only for unopened, defective, or incorrect Products within 5 days of delivery, subject to our Refund Policy. Non-returnable items include:

  • Opened or used chemicals.

  • Products damaged due to misuse or improper storage.

  • Custom-made or bulk orders (case-by-case basis).

8. Intellectual Property

All content (logos, text, images, trademarks) on the Website is owned by Vumi Industries or licensors. Unauthorized use, reproduction, or distribution is prohibited. User-generated content (e.g., reviews) grants us a non-exclusive license for promotional use.

9. Disclaimers & Liability

"As Is" Basis

The Website and Products are provided without warranties, express or implied, including fitness for purpose or non-infringement. We do not guarantee error-free or uninterrupted service.

Limitation of Liability

To the maximum extent permitted by Nepalese law:

  • We exclude liability for indirect, consequential, or punitive damages (e.g., lost profits, data breaches).

  • Total liability is capped at NPR 1,000 or the amount paid for the Product(s) in question, whichever is greater.

  • We are not liable for:

    • Inaccuracies in Product descriptions.

    • User misuse of Products.

10. Indemnification

You agree to indemnify Vumi Industries against claims arising from your breach of these Terms, violation of third-party rights, or unlawful use of the Website/Products.

11. Termination & Amendments

  • We may suspend/terminate access to the Website or Product sales at any time, with or without cause.

  • Terms may be updated periodically. Material changes will be notified via the Website. Continued use constitutes acceptance.

12. Governing Law & Disputes

Disputes shall be resolved exclusively in the Dang District Court, Nepal, under Nepalese law. The UN Convention on Contracts for the International Sale of Goods is excluded.

13. General

  • Severability: If any clause is invalid, the remainder remains enforceable.

  • No Waiver: Failure to enforce a provision does not waive future enforcement.

  • Entire Agreement: These Terms, with linked policies, constitute the full agreement.
